Corporate Law Services (Pty) Ltd was established in February 1998 with a competent team to advise and assist you in all aspects of corporate law, from registering your entity or providing you with a shelf (pre-incorporated) company right through to the maintenance and updating of your registers.

  • We have an extensive knowledge of the previous and current Companies Act which means that we know the old CM and new CoR forms.
  • The new Act places a huge responsibility on companies to keep their documents in order which does not have to be lodged with CIPC. This poses the problem that if documents are not kept in order there is no remedy of requesting missing copies from CIPC.
  • It is our experience that CIPC is also no longer a reliable source for obtaining documents that were lodged with them which makes the keeping of documents the responsibility of the company itself.
  • Under the previous Act, all special resolutions were lodged with the then CIPRO whereas the new Act specifies only certain special resolutions that need to be lodged. This means that a company will have to keep their paperwork in place.
  • Under the previous Act all share allotments, cancellation of shares or redemption of preference shares were recorded with the companies office which is no longer the case. Should a company not keep proper record of this it could turn out to be quite disastrous to know the true position of the shareholding in a company. To make sure that your company complies with the new Act. We can draft MOI’s for all types of entities and assist in replacing existing companies’ founding documents

Searches

We have access to all electronic information on companies and close corporations as captured on the CIPC database. We can obtain and forward such information, to our clients by e-mail or fax. The only limiting factors in executing a client’s instructions are the electronic access to the CIPC database and the frequency of the updating of their database. We can, however, also request copies of documents on the CIPC file.

Lodging Forms with CIPC

Any changes that need to be effected by means of CoR forms are lodged and monitored. Once the registration process has been completed a Certificate of Confirmation is received electronically. This Certificate is immediately forwarded to the client by e-mail.

Once the documents have been tracked we can monitor the progress.

SECRETARIAL SERVICES

By law the incorporation of a company must be followed by opening its register and keeping it up to date. We offer the full spectrum of these crucial secretarial services, from opening of registers, issue and transfer of shares to drawing up of agendas and general company forms. Notices, minutes, resolutions and special resolutions are prepared expertly.

CLS Company Secretarial Services (Pty) Ltd is a division of Corporate Law Services (Pty) Ltd which specializes in company secretarial services. CLSCSS offers companies the full spectrum of secretarial services which has become essential under the new Act as the onus is on the company to make sure they are compliant. The staff at CLSCSS work closely with companies by assisting in sending out notices of meetings, taking minutes and drafting all required resolutions. This is a very effective solution for smaller companies that do not need a full time company secretary.

CLSCSS also assist full time company secretaries to effect changes at CIPC and updating the company records and register.
